1. Introduction & Acceptance

These Terms of Use ("Terms") govern your access to and use of the React fan engagement platform ("App", "Platform"), operated by Visual Edge Media Ltd ("we", "us", "our"), a company registered in the United Kingdom.

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the App.

We may update these Terms from time to time. Continued use of the App after changes are posted constitutes your acceptance of the revised Terms. We will notify you of material changes through the App or via email.

2. About React

React is a fan engagement platform designed for use at live events. The App enables fans to participate in real-time interactive experiences including, but not limited to:

Live polls, votes, and reactions
Photo and video creation with augmented reality (AR) effects
Content submission for display on venue screens
Interactive games and engagement features
Community participation during events

3. Eligibility

To use the App, you must:

Be at least 16 years of age (or the minimum age required in your jurisdiction)
Have the legal capacity to enter into these Terms
Provide accurate and complete registration information

If you are using the App on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4. Your Account

4.1 Registration

You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@reactapp.com if you suspect unauthorised access.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you breach these Terms or engage in conduct that we reasonably consider harmful to the App, other users, or third parties.

5. Device Access & Permissions

5.1 Camera & Microphone

The App may request access to your device's camera and microphone to enable features such as photo/video capture, AR experiences, and audio interactions. This access is:

Permission-based: You must explicitly grant permission through your device's operating system.
Temporary: Access is used only while you are actively using the relevant feature. We do not access your camera or microphone in the background.
Revocable: You can revoke permissions at any time through your device settings.

5.2 Screen & Display

During events, certain features may involve screen interaction. Any such access is temporary and limited to the active feature.

5.3 Notifications

The App may request permission to send push notifications for event updates, engagement prompts, and other relevant communications. You can manage notification preferences in your device settings.

6. User-Generated Content

6.1 Your Content

User Content means any photos, videos, images, AR creations, text, reactions, poll responses, and other materials you create, upload, or submit through the App.

6.2 Licence Grant

By submitting User Content, you grant Visual Edge Media Ltd a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, publish, display, distribute, and perform your User Content in connection with:

Displaying content on venue screens during live events
Promoting the App, events, and associated partners on social media, websites, and other marketing channels
Improving and developing the App and its features

This licence continues for the duration your content is on the Platform and for a reasonable period thereafter for archival and promotional purposes, unless you request deletion (see Section 6.4).

6.3 Public Display

You acknowledge and consent that User Content submitted through the App may be displayed publicly, including on large venue screens visible to live audiences, broadcast feeds, social media, and promotional materials. Do not submit content you do not wish to be seen publicly.

6.4 Content Removal

You may request removal of your User Content by contacting us at info@reactapp.com. We will make reasonable efforts to remove the content promptly. However, we cannot guarantee removal from all locations where it may have been shared, cached, or redistributed by third parties.

6.5 Content Ownership

You retain ownership of your User Content. Nothing in these Terms transfers ownership of your intellectual property to us, beyond the licence granted in Section 6.2.

7. Acceptable Use

You agree not to use the App to:

Submit content that is illegal, abusive, threatening, defamatory, obscene, hateful, discriminatory, or otherwise objectionable
Harass, bully, intimidate, or harm other users
Impersonate any person or entity, or misrepresent your affiliation
Upload content that infringes the intellectual property, privacy, or other rights of any third party
Transmit viruses, malware, or other harmful code
Attempt to gain unauthorised access to the App, its servers, or other users' accounts
Interfere with or disrupt the operation of the App or its infrastructure
Use the App for any commercial purpose not expressly authorised by us
Use automated tools, bots, or scrapers to access the App
Violate any applicable law or regulation

We reserve the right to remove any content and suspend or terminate any account that violates these rules, at our sole discretion and without prior notice.

8. Third-Party Services — Snap Camera Kit

8.1 Camera Kit Integration

The App integrates Snap Camera Kit, a software development kit provided by Snap Inc., to deliver augmented reality (AR) lenses and camera effects. When you use AR or camera features in the App, you are also interacting with Snap's technology.

8.2 Snap's Terms & Policies

Your use of Camera Kit features is subject to:

We encourage you to review Snap's policies to understand how they handle your data.

8.3 Data Collection by Snap

When you use Camera Kit features, Snap Inc. may collect certain data including device information, usage data, and camera/AR interaction data. Full details are provided in our Privacy Policy, Section 6.

8.4 Opting Out

You may opt out of Snap Camera Kit data collection by disabling AR/camera features in the App settings, revoking camera permissions on your device, or contacting us. See our Privacy Policy for detailed opt-out instructions.

9. Intellectual Property

9.1 Our Property

The App, its design, features, code, graphics, logos, trademarks, and all related intellectual property are owned by or licensed to Visual Edge Media Ltd. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the App without our prior written consent.

9.2 Snap's Property

Snap, Snapchat, Camera Kit, and related trademarks, logos, and intellectual property are the property of Snap Inc. Use of Camera Kit features does not grant you any rights in Snap's intellectual property.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us the right to use them without restriction or compensation.

10. Disclaimers

10.1 "As Is" Basis

The App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 No Guarantee of Availability

We do not guarantee that the App will be available at all times, uninterrupted, or error-free. Live event features depend on venue connectivity and infrastructure, which may be outside our control.

10.3 Third-Party Content

We are not responsible for content created by other users or third-party services integrated into the App, including AR effects provided through Snap Camera Kit.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

Visual Edge Media Ltd, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App.
Our total aggregate liability for any claims arising from or related to these Terms or the App shall not exceed £100 (one hundred pounds sterling) or the amount you paid to use the App in the 12 months preceding the claim, whichever is greater.
We are not liable for any loss or damage arising from:
- User Content submitted by you or others
- The public display of User Content on venue screens or other media
- Actions of third parties, including Snap Inc.
- Technical failures, connectivity issues, or venue infrastructure problems
- Unauthorised access to your account resulting from your failure to maintain its security

Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Visual Edge Media Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

Your use of the App
Your User Content
Your breach of these Terms
Your violation of any third party's rights

13. Privacy

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your personal data, including information about third-party data sharing with Snap Inc. through Camera Kit.

14. Governing Law & Disputes

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

14.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the European Union or United Kingdom, this does not affect your statutory rights to bring proceedings in your country of residence.

14.3 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us at info@reactapp.com to attempt to resolve the dispute informally.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Visual Edge Media Ltd regarding the App.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

We may assign or transfer our rights and obligations under these Terms. You may not assign yours without our prior written consent.

15.5 Force Majeure

We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, strikes, power outages, or internet disruptions.

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes:

We will update the "Last updated" date at the top of this page.
We will provide notice through the App or via email.
Your continued use of the App after changes take effect constitutes acceptance.

If you do not agree with the updated Terms, you should stop using the App and delete your account.
